Avianne International, LLC. - General Terms and Conditions


By accessing, browsing, and/or using this website and/or pursuing any type of professional relationship with our business, Avianne International, LLC. hereby deems you to have agreed to our Terms and Conditions and conduct yourself accordingly. If you decide to not adhere to all our Terms and Conditions, then please exit this website and refrain from using it. We cannot conduct business with you unless you agree. Avianne International reserves the right to change/update and adjust our policies, terms, and conditions as we may see fit at any time, and these will still be binding.


Avianne International, LLC. is the umbrella organization under which all business entities and initiatives operate under the collective Avianne brand. These terms are non-negotiable, comply with Idaho State and USA Federal law, and are enforceable according to the fullest extent of the law. Agreeing to these terms and conditions indicates a full and clear understanding of and compliance with everything stipulated in the entirety of this document as intended by Avianne International, LLC.


Avianne International LLC. (© 2021, All Rights Reserved) reserve our right to refuse to conduct business with anyone. We reserve the right to refuse to do business with anyone for any reason at any time.


For the purposes of this document and your full agreement to these terms and conditions, Avianne International, LLC. will be referred to as “us,” “we," “Avianne,” “Avianne Academy of Arts,” “IGFA,” “Art Gallery,” “Gallery,” “Studio,” “Earth Sirens” and all other related terms and pronouns associated with the Avianne brand of sales and services. This may also include our affiliates, our volunteers, or anyone who works for us or with us on a specific project or at a specific location that we lease or own.


These terms and conditions apply to everyone who engages in business or non-profit or any type of personal or professional relationships or pursuits with us. This includes, but is not limited to, students, artists, volunteers, contractors, government officials, business partners, and affiliates. Should any legal dispute occur, you hereby agree to mediation by a third party we will select. You hereby waive any desire or intended actions to sue us for any reasons whatsoever and you are deemed responsible for all legal fees incurred if you do not adhere to this stipulation in full. Be strongly advised that we are able to obtain powerful, international legal representation. We will not hesitate to protect our rights and interests.


General Terms and Conditions


International Copyright and Non-Disclosure Agreement:


  • Avianne International, LLC. reserves all copyrights and intellectual property rights to the fullest extent of the law. You may not record, photograph, distribute, share, copy, or scan any of our classroom activities, methodologies, art or student hand-outs or notes in any way, shape, or form, in a professional or personal capacity, utilizing any type of publication, platform, communication methods or distribution efforts or services.

  • This website, in its entirety, is copyrighted. You may not duplicate or misrepresent it in any way, shape, or form. Should you come to obtain any knowledge of our trade secrets or copyrighted items in the course of any type of dealings or interactions with us, you are not permitted to share those with anyone, on any platform, or by any means, verbal, written or in visual form or use it to harm our business relationships, initiatives or transactions in any way.
  • Violating our copyrights or disclosing our trade secrets may lead to hefty fines and even prison sentences under Idaho State, Federal USA, and international copyright laws. We will legally pursue strong action against any such perpetrators.


General Privacy and Public Domain:


  • Avianne International, LLC. will never sell or share your information or (without consent) share your contact information with any third party, including clients and affiliates of our business.

  • We hereby assume that you understand the fact that we have no control over the public domain. We cannot always control posts or sharing on social media or the internet and we cannot be responsible for your exposure within the public domain and/or online presence in any way or any repercussions thereof.

  • By agreeing to these terms and conditions, you do give us permission and release to any and all official and unofficial related third parties, including the press, the rights to use publicly obtained images of you and your work at our professional discretion for marketing purposes in the most professional ways possible. You understand that predicting and/or controlling such usage may not always be possible and depends on many factors outside of our control.


Ethical and Legal Business Conduct:


  • Avianne International. LLC. requires respectful, ethical, lawful, and professional business conduct at all times. We do not conduct any business with minors. You must be 18 years or older to conduct any type of business with us. Parents or legal Guardians can conduct business on behalf of a minor with us if we deem it appropriate.
  • You cannot misrepresent our business or damage our reputation or business in any way, shape, or form. 
  • You may not use our business as an unauthorized platform for promoting yourself or your art and you may not usurp our business with other individuals, businesses, or organizations in any way, shape, or form.
  • You may never represent, promote, or create anything on behalf of our business or claim unauthorized endorsements from us in any way, shape, or form. 
  • You are responsible for working with us and advancing your own skills or artistic aspirations. We cannot force you to have results. Results depend on your ability and willingness to work with us and continue to build upon what you learn in class, at home, on your own, at our gallery, or during the course of working with, volunteering for, exhibiting with, or being represented by us.
  • We are not responsible for promoting your overall art or advancing your career, projects, or business ventures in any way, shape, or form. 
  • All work you do with us, including but not limited to all work submitted in applications, entry forms, in person, online, or for job purposes, must be your own. 
  • You have to honor class times and meeting times and respond to all communications in a timely fashion.
  • You are responsible for your own art-making process and creating a suitable art-making environment within your own personal and/or professional environment as well as for any extra supplies you may need.
  • We cannot cater to any issues or drama in your personal life. 


Studio Practice, Exhibitions, Events, Art Academy & Art Gallery Policies


Safety and Liability:


  • We are not liable for any theft, losses, damages, illnesses, diseases, injury, death, or terminal conditions of any kind that anyone may suffer while doing business with us. This includes but is not limited to COVID.
  • We are not responsible for carrying insurance of any kind on your behalf and you will be responsible for your own safety and liable for any harm you cause to yourself or any third party.
  • You have to follow safety procedures, instructions, policies, and requirements (verbal or written) at all times.
  • You have to wear safe and appropriate attire for art-making or gallery operations while in our studio or at our art gallery.
  • We do not have the training, facilities, or equipment to facilitate learning or art events for students with disabilities of any kind and will refrain from doing so. 
  • We do not have the ability to alter our physical environment to accommodate people with disabilities. 
  • Our facilities may involve staircases, bathrooms, private or business settings, and a variety of spaces that may not be wheelchair accessible. this is outside of our control.
  • Art studios are typically hazardous to animals - in the best interests of all persons and animals involved, we cannot accommodate animals, including persons who require service animals of any kind, as these animals are at (higher than usual) risk of death or injury within a studio environment.
  • Students and/or any third parties may not interact with any supplies, equipment, or furniture in or around the facility without express permission, following best practices.
  • We cannot guarantee safe, damage-free, or indefinite storage of your artwork.
  • We are not liable for any medical and/or other types of unforeseen events or emergencies and will follow best practices in such instances.
  • We are not liable for insuring your art or for refunding you in any way, shape, or form.
  • We will not entertain any requests of any nature at all that we deem unreasonable or are the result of events outside of our control or unrelated to our normative business conduct or procedures.
  • Unclaimed work, personal items, or projects will be sold or donated after 3 months to cover our losses. We will make every effort to reach the artist and or buyer in case artwork or projects are not being claimed, but if our attempts fail, as determined on a case-by-case basis, we reserve the right to sell any relevant items to cover losses if need be. Claiming work after deadlines for pick-up may involve paying a storage fee.


Physical/Online Conduct:


  • We have a zero-tolerance policy regarding bullying, lewd or disrespectful conduct, or harassment of any kind in person or online - this also covers, but is not limited to, our assistants, contractors, family members, friends, other students, property, facilities or online classroom environments.
  • You cannot bring any unauthorized promotional materials, recording equipment, entertainment devices, toys, disrespectful guests, unlawful substances, or irrelevant art or projects from outside the classroom or gallery to our classes, studio, or gallery.
  • We do not accommodate nudes or lewd art of any kind at all.
  • We require our students to attend any and all classes with a positive attitude, ready to learn, and we do not tolerate bad learning attitudes or habits.
  • Any artists that engage us must be professional at all times. This includes professional conduct in terms of speech, signing contracts, adhering to our terms and conditions, and not acting violent, rude, or inappropriate in any way.
  • If a class or exhibition entry or any related opportunity or event needs to be canceled, discontinued, refunded, or postponed, we will deal with it on a case-by-case basis.
  • Scheduling, commencement, and continuation of any classes or exhibitions must be honored according to all our terms and conditions. Failure to do so may result in canceled classes or exhibition opportunities without reimbursement or compensation.


Art and Art Exhibitions:


  • All our art exhibitions are family-friendly. No inappropriate art will be accepted. We reserve the right to determine what is appropriate and what is not at all times on a case-by-case basis.
  • Artists must meet all deadlines for entering work into exhibitions, with no exceptions.
  • Artists are responsible for delivering work and shipping work to us. We cannot ship work to anyone unless a fee is charged for it and paid for by the artist or client in advance.
  • We are not responsible for art that is damaged or destroyed due to shipping containers or shipping procedures of any kind.
  • Artists are responsible for properly following the submission criteria for each individual exhibition they may enter. Work that does not comply with said criteria cannot be accepted into an art exhibition.
  • Work must be properly framed, matted, finished off, and hang-ready when it arrives with us - please follow the submission criteria at all times. We will refuse work that is not professionally submitted, not hangable, too difficult to move, handle, or install, or poor in terms of actual physical quality.
  • Judging and jurying decisions regarding any art are final. No correspondence will be entered into regarding this.
  • Submissions are not acceptable in person - all initial submissions must be online.
  • Original work is required unless expressly stipulated otherwise, in which case we will only accept high-quality replicas or handcrafted items. We will not accept mass-produced items or any art that is created or required to be displayed in a way that is less than professional.
  • If any criminal or copyright misconduct and/or any suspicious activities related to any artwork are expected, we reserve the right to terminate our affiliation with any related artist and the right to refuse sales of the work.
  • Entry fees and booking fees are non-refundable, and not all work will be accepted.


Handmade Items, Events, and Live Entertainment:


  • Wherever practically applicable, the same terms and policies that are enforced for artwork and art exhibitions are applicable to handmade items and events.
  • We directly work with makers and wholesalers as we deem fit. Individual contracts and agreements will apply per event or vendor.
  • Live entertainment is organized separately from any of our other services and sales activities. We decide how to best proceed on a case-by-case basis. All our other applicable policies, terms, and conditions still apply.
  • Any outside vendors of any kind must comply with all terms, conditions, policies, laws, and regulations as set forth by us in all verbal and written agreements we make, including whatever may apply to them as stipulated in this document.
  • We reserve the right to terminate any live entertainment or event should our facilities or terms and conditions regarding such events not be respected in any way.


Sales and Services:


  • All sales of physical items are final. No refunds can be made.
  • We have to add sales tax according to Idaho State law. Sales tax is determined by the city of Boise and may vary from year to year.
  • The gallery takes a 20% commission on all sales.
  • The artist or crafter will receive the full payout for each sold item after all taxes and payments have been processed and confirmed.
  • Proof of payment and identity is required for a buyer to directly pick up any artwork or sold item from the gallery or have work shipped to them directly.
  • We reserve the right to refuse or terminate a sale should we expect fraud, copyright violations, unethical conduct, or theft of any kind.
  • All classes, workshops, and events that require a fee can be reimbursed within a reasonable time period prior to commencement or in the event of an emergency. This differs between services and situations and we reserve the right to determine this on a case-by-case basis.


Payments and Communications:


  • You must honor all our payment and communications policies and procedures as required for any specific transaction of any kind.
  • Payments and communications regarding art classes, workshops, or entry forms for any exhibition or event are required online.
  • We cannot accept cash, checks, cryptocurrency, or currencies in any other monetary unit besides the US dollar.
  • Payment will not be accepted unless contract agreements are signed and/or terms and conditions, as we stipulate, are agreed upon in writing or by marking such as agreed upon online.
  • Art sales are conducted per the specific accommodations as per each individual artist and art exhibition and/or event.
  • We charge sales tax and will add such tax to anything we sell.
  • We conduct all financial transactions according to USA laws and regulations.
  • A failure to pay for any item or service according to our terms and conditions will result in immediate termination of said sale or service. Reimbursement would depend on the specific situation.


Purchasing Artwork from / Commissioning / Affiliating with / Working for / Volunteering for / Partnering with Avianne herself or Avianne International, LLC.:

  • Such sales or services and any additional, related terms, conditions, and contracts will be agreed upon on a case-by-case basis.
  • Individual contract stipulations will apply in addition to ALL applicable terms and conditions set forth in this document.
  • All sales are final.
  • Avianne reserves the right to refuse to do business or be affiliated officially with any person or organization.


Final Disclosures:

  • It is understood that Avianne International, LLC. / Avianne Academy of Arts does not offer any degrees, nor are we an accredited academic institution.
  • It is understood that we do not accommodate all methods of art making but have a focus on only certain types of art making as set out in our class and workshop descriptions as well as our exhibitions’ submission criteria.
  • Students, artists, and any other relevant third parties will be notified when any significant changes in policy, terms, and conditions ever occur.
