These Terms and Conditions (the “Terms”) govern your access to and use of www.internationalgalleryfineart.com (the “Site”), which is operated by Avianne International LLC, doing business as Avianne International Gallery of Fine Art (“Avianne International Gallery of Fine Art,” “the Gallery,” “we,” “us,” or “our”).
The Site presents exhibitions, events, artwork, professional history, archival material, and information concerning Avianne Kingsley and the Gallery, and provides ways to begin legitimate professional or gallery-related inquiries. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms should be read together with the Site’s Privacy Policy and Disclaimers. They do not replace a separately signed exhibition, event, artwork sale, consignment, loan, licensing, collaboration, venue, services, or other professional agreement. If a separate written agreement conflicts with these Terms, the separate written agreement controls for that specific matter.
1. Eligibility and Authority
You may browse the Site regardless of age, but you must be legally capable of entering into a binding agreement to purchase artwork, enter an exhibition or event agreement, license content, or conduct another transaction with us. A parent or legal guardian must act on behalf of a minor when a binding agreement or payment is involved.
If you contact us or enter into an agreement on behalf of a gallery, museum, business, nonprofit organization, school, government entity, venue, collector, artist, media organization, or other person or organization, you represent that you have authority to do so.
2. Purpose and Availability of the Site
The Site is a professional presentation, archive, information, and inquiry platform.
It does not promise that every exhibition, event, artwork, collaboration, opportunity, or service displayed or described on the Site is currently available.
- Information identified as current, upcoming, featured, or similar reflects information available when the Site was last updated and may change.
- Information identified as archived, historical, past, or appearing in an older exhibition or event record describes prior activity and should not be interpreted as a current offering, partnership, representation, sponsorship, or affiliation.
- Dates, locations, participants, artwork, schedules, availability, prices, formats, and other details are provided in good faith but remain subject to confirmation.
- We may update, reorganize, archive, remove, suspend, or discontinue Site content at any time. Changes to Site content do not alter an existing signed agreement unless the parties agree in writing or applicable law requires otherwise.
3. Inquiries and Communications
You may contact the Gallery regarding exhibitions, events, artwork, professional collaborations, media or press inquiries, institutional matters, or other legitimate subjects. Please provide accurate contact information and enough relevant detail for us to evaluate and respond to your inquiry.
- Submitting an inquiry does not create a contract, artwork reservation, exhibition acceptance, agency relationship, representation agreement, partnership, employment relationship, fiduciary relationship, or obligation by either party to proceed.
- An email, message, discussion, preliminary proposal, estimate, or informal conversation is not a binding agreement unless expressly incorporated into an accepted invoice or written agreement.
- Do not send passwords, complete payment-card information, government identification numbers, medical records, or other highly sensitive information through ordinary email or the Site.
- Do not send confidential business information, trade secrets, proprietary concepts, or unpublished creative material unless we have first agreed in writing to receive it confidentially.
- For the security of the parties involved, transactions may use verified payment, invoicing, shipping, insurance, identity-verification, and documentation services.
4. Exhibitions, Events, and Archival Content
The Site may describe exhibitions and events organized, hosted, presented, participated in, or otherwise connected with Avianne Kingsley or Avianne International Gallery of Fine Art. Exhibition and event information may include current, upcoming, featured, completed, or archived projects.
When another gallery, venue, organization, institution, sponsor, organizer, juror, or service provider is involved:
- That party may independently control its venue, schedule, admission, registration, judging, policies, accessibility, cancellations, refunds, security, or other operational matters.
- Information appearing on this Site does not override the third party’s applicable policies or agreement.
- Dates, availability, participants, programming, or other details may change for reasons outside our control.
- A historical reference does not establish that a professional relationship remains active.
Photographs, videos, exhibition materials, awards, event descriptions, or historical records may remain on the Site after an exhibition or event has concluded.
5. Artist Submissions and Exhibition Opportunities
Unless the Site expressly announces an open call, exhibition opportunity, application, or submission process, the Site should not be treated as an open artist-submission portal. Unsolicited artwork or proposals do not create an obligation to review, retain, respond to, represent, exhibit, promote, or sell the work.
When the Gallery does offer an exhibition, event, application, call for art, or other opportunity, separate rules may address:
- Eligibility.
- Submission requirements.
- Deadlines.
- Fees.
- Selection or jury procedures.
- Artwork preparation.
- Shipping and delivery.
- Insurance.
- Installation and removal.
- Sales or commissions.
- Cancellations and refunds.
- Photography, publicity, and licensing.
- Pickup or return of artwork.
Those opportunity-specific terms control for that project. Submitting work does not guarantee acceptance, exhibition, award, sale, representation, publicity, or future opportunity.
6. Artwork Availability, Inquiries, and Sales
Unless the Site expressly provides a completed online checkout process, an artwork listing, contact link, “Inquire,” or similar feature is an invitation to communicate with us. It does not reserve an artwork, guarantee availability, establish a final price, or complete a sale.
Where a transaction is contemplated, material terms may need to be confirmed in writing, including:
- The artwork or other item involved.
- Price and currency.
- Applicable taxes or fees.
- Payment terms.
- Shipping, delivery, pickup, installation, or insurance.
- Documentation or provenance.
- Any licensing or reproduction rights.
- Other transaction-specific requirements.
A transaction becomes binding only as stated in the applicable invoice, bill of sale, contract, or other written agreement. We may correct an obvious error concerning price, attribution, dimensions, availability, description, or similar information before a transaction is completed.
We may decline or cancel a proposed transaction when we reasonably suspect fraud, unlawful activity, infringement, payment problems, sanctions or shipping restrictions, misrepresentation, or another legitimate business or legal concern.
If funds have already been received, any refund due will be handled according to the applicable agreement, payment method, and law.
7. Cancellations, Refunds, Fees, and Payments
Cancellation, refund, exchange, deposit, entry-fee, commission, payment, and related terms depend on the particular transaction, exhibition, event, service, or professional agreement involved.
Where applicable, those terms will be stated in the relevant invoice, registration materials, call for entry, contract, consignment agreement, event agreement, or other written terms.
We do not represent through these general Terms that every payment is refundable or nonrefundable, that every transaction uses the same commission structure, or that every project uses the same payment method.
Applicable taxes and legally required charges will be handled according to the particular transaction and applicable law.
Nothing in these Terms limits a consumer or contractual right that cannot lawfully be excluded or waived.
8. Intellectual Property and Permitted Use
The Site and its contents—including artwork images, photographs, videos, exhibition materials, written content, graphics, designs, logos, branding, collection or exhibition names, and the selection and arrangement of Site content—are owned by or licensed to the Gallery or their respective rights holders and are protected by applicable intellectual-property laws.
We grant you a limited, revocable, nonexclusive, nontransferable right to access and view the Site for personal, informational, or legitimate professional-evaluation purposes.
Without prior written permission, you may not:
- Copy, reproduce, publish, distribute, transmit, modify, adapt, translate, license, sell, or commercially exploit protected Site content.
- Create unauthorized products, prints, merchandise, advertisements, publications, fundraising materials, NFTs, tokenized products, or other commercial uses from artwork or Site content.
- Remove copyright, trademark, attribution, watermark, or rights-management information.
- Scrape, harvest, mirror, archive, or systematically extract Site content except through ordinary search-engine activity consistent with applicable Site instructions.
- Use artwork images, photographs, writings, or Site data to train, fine-tune, evaluate, develop, or supply an artificial-intelligence, machine-learning, image-generation, or similar system without written permission.
- Use names, artwork, logos, biography, awards, quotations, branding, exhibition history, or other material in a way that falsely suggests sponsorship, representation, endorsement, affiliation, employment, or authorization.
You may share an ordinary link to a public Site page provided that you identify the source accurately and do not misrepresent its content or relationship to you.
Purchase or possession of a physical artwork does not itself transfer copyright or reproduction rights.
9. Third-Party Intellectual Property
The Site may refer to or display names, trademarks, logos, photographs, videos, exhibition materials, awards, publications, venues, or other content associated with third parties. Such material remains the property of its respective rights holder where applicable and may be used for identification, historical documentation, commentary, exhibition information, or other lawful purposes.
Unless expressly stated, the appearance of a third-party name, trademark, logo, exhibition, organization, publication, gallery, venue, school, business, charity, or institution does not mean that the third party currently sponsors, endorses, represents, employs, controls, or partners with the Gallery or Avianne Kingsley.
Likewise, archival documentation of a prior professional relationship does not imply that the relationship remains current.
10. Materials You Submit
You retain ownership of material that you lawfully submit through an inquiry, including messages, photographs, professional documents, artwork images, project descriptions, proposals, or other material.
You grant us limited permission to receive, store, review, internally copy, and use the material as reasonably necessary to respond to your inquiry, evaluate a proposal, prepare an agreement, perform a requested service, maintain appropriate records, or comply with law.
You represent that you have the right to submit the material and that our reasonable use of it for the requested purpose will not violate another person’s copyright, privacy, publicity, contract, confidentiality, or other rights.
Do not submit unlawful, infringing, threatening, defamatory, deceptive, malicious, obscene, or malware-containing material.
Unless we sign a separate confidentiality or nondisclosure agreement, an unsolicited submission will not be treated as confidential.
This provision does not transfer ownership of your submitted material to us.
11. Acceptable Use and Professional Conduct
You agree not to use the Site or its communication channels to:
- Violate applicable law, regulation, court order, sanction, export restriction, or third-party right.
- Attempt unauthorized access to the Site, accounts, forms, hosting environment, data, or security systems.
- Introduce malware, overwhelm or disrupt the Site, probe vulnerabilities, or circumvent security measures.
- Impersonate another person or organization or materially misrepresent your identity, authority, credentials, artwork, or professional relationship.
- Harass, threaten, stalk, exploit, defame, or abuse another person.
- Submit fraudulent, stolen, counterfeit, plagiarized, or infringing artwork or material.
- Use the Gallery as an unauthorized promotional platform.
- Claim that Avianne International Gallery of Fine Art or Avianne Kingsley endorses, represents, employs, sponsors, or partners with you without authorization.
- Engage in unlawful or deceptive conduct intended to damage the Gallery, Site, artwork, visitors, participants, professional relationships, reputation, or rights of another party.
12. Third-Party Websites and Services
The Site may link to Art by Avianne, Avianne International, other galleries and exhibition venues, social-media platforms, video platforms, media organizations, payment processors, shipping providers, insurers, and other third parties.
A link is provided for convenience, context, documentation, or access and does not automatically constitute endorsement, control, partnership, or responsibility.
Third-party websites and services have their own terms, privacy policies, accessibility practices, security measures, fees, and operating decisions.
Your use of those services is governed by their rules. We are not responsible for their content, availability, accuracy, conduct, policies, or data practices.
13. Privacy
Our collection and use of personal information are described in the Site’s Privacy Policy. By using the Site, you acknowledge that website hosting, communications, analytics, payment, shipping, and other service providers may process information as described in that Policy.
14. Disclaimer of Warranties
To the fullest extent permitted by law, the Site is provided on an “as is” and “as available” basis. We make reasonable efforts to maintain accurate and professional content, but we do not warrant that the Site will always be uninterrupted, error-free, secure, complete, current, or free from harmful components.
Historical exhibition, event, affiliation, award, media, and professional information is presented in good faith based on available records and context.
Artwork images may differ in appearance from physical works because of photography, lighting, monitors, cropping, scale, reproduction, and other factors.
Information on the Site is provided for general information and professional presentation. It is not legal, financial, tax, investment, appraisal, authentication, conservation, medical, or other regulated professional advice.
Additional disclaimers appear on the Site’s Disclaimers page and are incorporated into these Terms to the extent applicable and consistent with law.
15. Limitation of Liability
To the fullest extent permitted by law, Avianne International Gallery of Fine Art, Avianne International LLC, and their owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from your use of or inability to use the Site, including loss of data, opportunity, revenue, reputation, or business interruption, even if the possibility was known.
To the fullest extent permitted by law, our aggregate liability for a claim arising solely from use of the Site will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid directly to us for the specific transaction giving rise to the claim during the twelve months preceding the event. A transaction-specific liability provision contained in a signed agreement controls for that transaction.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, personal injury caused by negligence where liability cannot lawfully be excluded, or any consumer or other right that applicable law does not permit us to exclude or limit.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Avianne International Gallery of Fine Art, Avianne International LLC, and their owners, employees, contractors, and service providers from third-party claims, losses, liabilities, damages, judgments, and reasonable costs arising from:
- Your unlawful misuse of the Site.
- Your material violation of these Terms.
- Material you submit that infringes or violates another person’s rights.
This provision does not require you to indemnify a party for that party’s own unlawful conduct.
17. Refusal, Suspension, and Termination
We may block abusive communications, restrict access to the Site, decline an inquiry or proposed transaction, or end a business or professional relationship for legitimate business or legal reasons, including nonpayment, suspected fraud, infringement, harassment, threats, unlawful or unsafe conduct, misrepresentation, conflicts of interest, an infeasible project, or material breach of an applicable agreement. Any action will remain subject to applicable law and any controlling written agreement.
Provisions that by their nature should survive termination—including intellectual-property, payment, confidentiality, disclaimer, liability, indemnification, dispute, and general provisions—will survive.
18. Changes to These Terms
We may revise these Terms to reflect changes to the Site, our business practices, technology, professional activities, or applicable law. The updated Terms will be posted on this page with a revised effective date. Changes apply prospectively from that date and do not retroactively rewrite a completed transaction or signed agreement unless the parties agree in writing or applicable law requires otherwise.
19. Governing Law and Disputes
These Terms and disputes arising from the Site are governed by the laws of the State of Idaho, without regard to conflict-of-law principles, except to the extent mandatory law in another jurisdiction applies.
Before filing a formal claim, the parties are encouraged to contact one another and make a good-faith effort to resolve the matter informally. Unless applicable law requires otherwise or a separate written agreement provides another forum, any judicial proceeding relating to these Terms or the Site must be brought in a state or federal court with jurisdiction in Ada County, Idaho, and each party consents to that court’s personal jurisdiction.
20. General Terms
- Entire agreement. These Terms, the Privacy Policy, and the Disclaimers form the general agreement governing use of the Site. A separate written agreement may add to or replace them for a specific transaction or professional relationship.
- Order of control. If applicable documents conflict, a signed transaction-specific agreement controls for that transaction, followed by accepted invoice or written order terms, then these Terms.
- Severability. If a provision is held unlawful or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain in effect.
- No waiver. A failure or delay in enforcing a provision is not a waiver of that provision or another right.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a lawful restructuring, merger, sale, or transfer of the business or relevant assets.
- No third-party beneficiaries. Except where expressly stated, these Terms do not create rights for a person who is not a party to them.
- Headings. Section headings are for convenience and do not alter the meaning of these Terms.
- Electronic communications. When you contact us electronically or conduct a transaction electronically, you consent to receive communications related to that inquiry or transaction electronically.
